1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nousable Ltd ("Nousable", "we", "us", or "our") governing your use of the Nousable educational learning platform, including our mobile application and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Nousable is an AI-powered language learning platform that enables organizations (schools, companies, and training providers) to deliver interactive learning experiences to their users. The Service includes:

• Interactive learning activities (vocabulary, reading, listening, sentence building, and more)
• AI-powered conversational tutoring with a virtual avatar
• Speech recognition and pronunciation assessment
• Progress tracking and skill assessment
• Gamification features (XP, streaks, achievements, leaderboards)
• Reporting dashboards for teachers and administrators

The Service is provided on a subscription basis to organizations. Individual users access the Service through their organization's subscription.

3. User Accounts

3.1 Account Creation

Accounts are managed by your organization. Your organization's administrator provisions accounts using standard email and password authentication. You must provide accurate and complete information when setting up your account.

3.2 Age Requirement

The Service is intended for users aged 13 and older. If you are under 13, you may not use the Service. Organizations are responsible for ensuring that all users meet this age requirement.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

• Keep your password secure and not share it with others
• Notify your organization's administrator immediately if you suspect unauthorized access
• Not use another person's account without permission

4. Acceptable Use

4.1 Permitted Use

You may use the Service for educational purposes within your organization, including:

• Completing assigned learning activities and assessments
• Engaging with AI-powered conversational features for language learning
• Viewing your progress, skills, and achievements

4.2 Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Share your account credentials or allow others to access your account
• Attempt to gain unauthorized access to any part of the Service or its systems
• Interfere with or disrupt the Service or the servers and networks that host it
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools (bots, scrapers) to access or interact with the Service
• Submit false, misleading, or inappropriate content
• Harass, abuse, or harm other users
• Attempt to manipulate XP scores, leaderboards, or other gamification features
• Input explicit, obscene, offensive, or abusive content into AI conversations
• Attempt to manipulate or "jailbreak" the AI features to produce responses outside their educational purpose
• Use the AI features for any purpose other than educational learning

5. AI-Generated Content

The Service uses artificial intelligence and machine learning technologies to generate responses and provide educational assistance. By using AI features, you acknowledge and agree that:

• AI responses are generated for educational purposes and may contain errors or inaccuracies
• AI-generated content is not a substitute for qualified teachers, tutors, or professional instruction
• Nousable does not warrant the accuracy, completeness, or appropriateness of AI-generated content
• Nousable is not liable for any AI-generated responses, including inaccuracies or omissions
• AI output depends on the quality and context of your input
• The AI avatar does not provide medical, psychological, or professional counseling

If you encounter AI-generated content that is inaccurate, inappropriate, or concerning, please report it by contacting support@nousable.com.

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, features, content, trademarks, and logos, is owned by Nousable or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended educational purpose during the term of your organization's subscription.

6.2 Your Content

You retain ownership of any content you submit through the Service (such as responses to activities or voice recordings). By submitting content, you grant us a limited license to process it solely for providing and improving the Service.

6.3 Organization Content

Organizations retain ownership of their educational content, course materials, and user data. Nousable processes this content solely to provide the Service under the terms of the organization's subscription agreement.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. Key points:

• Your organization is the data controller; we process data on their behalf
• We do not sell your personal information
• We do not use your data for advertising
• You can request deletion of your account and data at any time

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Nousable shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption.
• Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the fees paid by your organization to Nousable in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited by applicable law.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will meet your specific requirements or learning goals
• The Service will be uninterrupted, timely, secure, or error-free
• Any specific educational outcomes will be achieved through use of the Service
• Skills assessments or progress reports are a definitive measure of competency

10. Termination

10.1 By You

You may stop using the Service at any time. To delete your account, use the option in the app or email support@nousable.com.

10.2 By Us

We may suspend or terminate your access to the Service if:

• You violate these Terms
• Your organization's subscription ends or is terminated
• We are required to do so by law
• We reasonably believe your account has been compromised

10.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Data retention and deletion following termination are governed by our Privacy Policy.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of the State of Israel.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify your organization's administrator by email at least 30 days in advance
• Display a notice within the app

Continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree, you should stop using the Service.

13. General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy and any organizational subscription agreement, constitute the entire agreement between you and Nousable regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or successor entity.
